By entering into a service agreement with Soleil Global Transportation Inc (“Soleil”), you (“Client”) agree to comply with and be bound by the terms and conditions outlined in the Service Agreement Policy. This policy serves as a general overview of the key points that are included in our service agreements.
Acceptance of Terms
By entering a service agreement, the Client acknowledges that they have read, understood, and agree to be bound by the terms and conditions specified within the contract. This includes any additional terms and conditions that may apply to specific services provided by Soleil.
Scope of Services
Service Description: The agreement will detail the specific logistics services to be provided, including but not limited to freight forwarding, customs clearance, and warehousing.
Service Duration: The contract will specify the start and end dates of the service provision.
Pricing and Payment Terms
Fees and Charges: The fees for services rendered, including any applicable taxes, surcharges, or additional costs, will be provided to the Client before entering a service agreement.
Payment Schedule: Payment terms, including due dates and accepted payment methods, will also be clearly specified.
Responsibilities and Obligations
Soleil’s Obligations: Soleil will perform the services with reasonable skill and care, adhering to industry standards and regulations.
Client’s Obligations: The Client agrees to provide accurate information and necessary documentation to facilitate the services.
Liability and Indemnification
Limitation of Liability: Soleil’s liability for any claims arising from the service agreement will be limited to the fees paid by the Client for the specific service.
Indemnification: The Client agrees to indemnify and hold Soleil harmless from any claims, damages, or expenses arising from the Client’s breach of the agreement.
Termination and Cancellation
Termination Rights: The agreement will specify the conditions under which either party may terminate the contract.
Cancellation Fees: Any applicable cancellation fees or penalties will be outlined.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the term of the agreement.
Amendments
Procedures for making changes to the contract terms will be clearly defined. Any amendments to the agreement must be agreed upon by both parties in writing.
Force Majeure
The agreement will include clauses addressing unforeseen events that may impact service delivery, such as natural disasters, acts of war, or other circumstances beyond the control of either party.
Dispute Resolution
Methods for resolving any disputes that may arise, such as mediation or arbitration, will be outlined in the agreement to ensure a fair and efficient resolution process.
Governing Law
The service agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
